Position overview

The Legal Counsel role at TCS is a senior in-house position that combines core litigation management, employment and labour advisory, commercial contract work, audit support, and basic data-privacy review. The counsel will work closely with business, HR, and leadership teams to manage legal risk and support TCS’s large, multi-location operations across India.​

Candidates should bring strong, demonstrable experience in litigation, employment/labour law, and commercial contracting, along with comfort handling large volumes of disputes and documentation.​

Core roles and responsibilities

Litigation management (PAN India)

The Legal Counsel will handle litigation for TCS across forums and geographies, including:

  • Managing litigations before Labour Courts, Industrial Courts, Small Causes Courts, Magistrate Courts, District and Sessions Courts, and High Courts across India.​
  • Handling arbitration proceedings and High Court matters arising from such arbitrations, including briefing and assisting external counsel on ongoing arbitrations.​
  • Drafting litigation documents such as statements of claim, interim applications, statements of defence, affidavits in reply, evidence affidavits, rejoinders, surrejoinders, and counterclaims.​
  • Drafting replies to legal notices and regulatory notices, as well as responses to communications from active or inactive employees, third-party associations, or labour unions.​
  • Assessing and evaluating risk arising out of pending litigation to support provisioning, settlement strategy, and management decision-making.​
  • Providing general advisory to internal and external stakeholders on ongoing litigations, litigation strategy, evidence collection, and witness briefing, alongside focused legal research on issues and challenges that arise in these matters.​

Employment and labour law matters

The role carries significant responsibility for TCS’s employment and industrial-relations matters:

  • Handling labour/employment litigations across India under the Industrial Disputes Act and other labour laws, as well as related succession and family-dispute matters impacting employment.​
  • Advising internal stakeholders on policy issues, industrial relations (IR) and employee relations (ER) concerns, compliance under the Contract Labour (Regulation & Abolition) Act, social security and benefits administration, responses to court notices, and witness summons handling.​
  • Discipline management, including drafting and/or reviewing show-cause notices, charge-sheets, and termination, discharge, or dismissal orders under the company’s Standing Orders or Service Rules, together with other disciplinary documents.​
  • Handling litigations or disputes alleging unfair labour practices or raising industrial disputes, ensuring statutory procedure and evidence requirements are met.​
  • Reviewing global mobility and deployment documents, and providing legal support on mobility challenges and cross-border employment litigations affecting TCS’s international workforce.​

Vendor contracts and commercial agreements

The Legal Counsel is expected to independently manage a broad spectrum of vendor and commercial contracts:

  • Drafting and reviewing Master Service Agreements (MSAs), Statements of Work (SOWs), Service Level Agreements (SLAs), MoUs, and various vendor contracts relating to supply of goods and services and facilities management.​
  • Dealing with specific instruments such as attornment deeds, bank guarantees, employment-related contracts, subscription agreements, event sponsorship agreements, various service and consultancy agreements, licensing agreements, corporate tie-up agreements, CSR agreements, lease financing agreements, master rate contracts, and notices of termination.​
  • Ensuring that contract terms address liability, indemnity, IP ownership, confidentiality, data protection, termination, and dispute resolution in line with TCS’s risk frameworks.​

Management reporting and audits

The role has an explicit reporting and audit interface:

  • Preparing litigation reports and dashboards for senior management and external auditors, summarizing exposure, status, and risk assessments.​
  • Handling audit queries related to litigations, including clarifications on provisions, contingent liabilities, and compliance steps taken.​
  • Coordinating independent evaluations from external counsel on significant or high-stakes pending litigations, to inform provisioning and strategic decisions.​

Data privacy and data protection

TCS expects the Legal Counsel to have baseline global data-privacy familiarity:

  • Maintaining basic knowledge of data-privacy and data-protection laws globally, and supporting compliance when reviewing relevant contracts.​
  • Reviewing Data Processing Agreements (DPAs) and Data Transfer Agreements, particularly with regard to controller–processor obligations.​
  • Understanding standard contractual clauses and related modules, their applicability, and enforcement implications for TCS’s cross-border data flows.​

Ideal candidate profile

The ideal candidate is:

  • An experienced litigator with 8–10 years of post-qualification experience handling employment, commercial, and arbitration matters, preferably for IT/ITES or large corporates.​
  • Comfortable working across forums—from labour and industrial courts to High Courts and arbitration tribunals—and managing external counsel relationships.​
  • Strong in labour and employment law, with practical experience of disciplinary processes, IR/ER issues, and contract labour compliance.​
  • Skilled in commercial contracting across diverse templates and able to work with business teams to align contract structures with operational realities.​
  • Familiar with global data-privacy concepts and able to spot and address DP/DPA requirements in service and outsourcing contracts.​
